What is a Small Business Restructure?

A Small Business Restructure (SBR) is a simplified debt restructuring process that lets an eligible company deal with its debts while it keeps trading. You stay in control, with a Small Business Restructuring Practitioner (SBRP) helping you build a restructuring plan and a restructuring proposal statement to put to creditors. Unlike external administration, no administrator takes over the company.

Introduced through the 2021 insolvency reforms and set out in the Corporations Act 2001, the Small Business Restructuring process is a faster, lower cost alternative to Voluntary Administration for viable businesses with total liabilities under $1 million. You keep operating in the ordinary course of business while the plan is agreed. Act early and more paths stay open, including avoiding Liquidation.

Small Business Restructure in Perth – FAQs

Often, yes, if you move early. Once a small business restructuring practitioner is appointed, a moratorium pauses most creditor enforcement, including a wind-up application, while your plan is prepared. That breathing space is what helped the Perth pub above keep its doors open. The sooner you call, the more options you have.

Your team keeps working as normal. A Small Business Restructure is built for businesses that keep trading, so day-to-day operations carry on. To be eligible, employee entitlements, including superannuation, need to be paid up to date before the plan goes ahead, which protects your staff's position.

You get a set proposal period of 20 business days for you and your SBRP to develop the plan and your restructuring proposal statement, then creditors have 15 business days to vote. Around 35 business days start to finish, faster than most formal processes.

It deals with the company's unsecured debts, like trade suppliers, unsecured loans and tax debt. Unsecured creditors vote on your restructuring proposal statement based on what they're owed. Personal guarantees you've signed sit outside the company process, so they aren't automatically cleared. We'll explain how any guarantees affect you before anything is lodged.
